Now that is just not right that Brian declares his love for Justin and he's not even there!!!
I think Brian needs a new legal team if they could make it legal to have a board meeting without the CEO and other voting members and get rid of the CEO...something just isn't right with this. But since you have said Brian is like Teflon I know he will make everything OK.

And, you might be right about the legality of excluding Board members. However, usually a CEO is not a member of the Board; and Boards make their own bylaws that vary per company (and can be full of loop holes). Jim and Gardner definitely acted underhandedly but they may have found a loophole or two that made it possible for them to do what they did.
